Bureau Foundations Software Terms of Use.
Licence agreement for organizations. Version 1.0, effective October 17, 2026.
These Terms of Use (the "Agreement") are between Fortitude North Ltd., a corporation having its office at #4800-1 King St W, Toronto, Ontario ("we", "us" or "our"), and the organisation that obtains a licence to the Bureau Foundations software (the "Customer" or "you").
PLEASE READ THIS AGREEMENT CAREFULLY. By installing, copying or using the Software, or by authorising anyone to do so, the Customer agrees to this Agreement. The person accepting this Agreement on the Customer's behalf confirms that they have authority to bind the Customer. If the Customer does not agree, it must not install or use the Software.
1. Definitions
"Software" means the Bureau Foundations applications (including Writer, Reader, Spreadsheet, Mail and Presentation), in object-code form, together with any updates we make available and the accompanying documentation.
"Authorised User" means an employee, contractor or other individual whom the Customer permits to use the Software for the Customer's purposes.
"Customer Content" means the documents, messages, files and other information that the Customer or its Authorised Users create, open, store or process with the Software.
"Order" means any quotation, order form, invoice or other written agreement between us and the Customer that refers to the Software, including the number of users or devices licensed and any fees.
"Third-Party Components" means the open-source software and fonts included in the Software, listed in the Third-Party Notices supplied with it.
2. Licence
2.1 Subject to this Agreement and to payment of any fees set out in an Order, we grant the Customer a non-exclusive, non-transferable, non-sublicensable licence, for the term of this Agreement, to install and use the Software on devices the Customer owns or controls, by its Authorised Users, for the Customer's internal business purposes, within any limits on users or devices stated in an Order.
2.2 The Customer may make a reasonable number of copies of the Software for installation, backup and archival purposes, provided each copy keeps all proprietary and licence notices.
2.3 The Customer is responsible for its Authorised Users' compliance with this Agreement.
3. Restrictions
Except as this Agreement expressly allows, or to the extent applicable law expressly permits despite this restriction, the Customer must not, and must not permit anyone else to:
(a) copy, modify, translate or create derivative works of the Software;
(b) decompile, disassemble or reverse engineer the Software, or attempt to derive its source code;
(c) sell, rent, lease, lend, sublicense, distribute or otherwise make the Software available to any third party, or use it to provide services to third parties (for example as a hosted or bureau service);
(d) remove, alter or obscure any proprietary, copyright or licence notice in the Software;
(e) circumvent any technical limitation in the Software; or
(f) use the Software in breach of any applicable law, including export-control and sanctions laws.
4. Third-party components
The Software includes Third-Party Components that are licensed under their own licences, reproduced in the Third-Party Notices available in the Software (About, then Third-party notices) and in the files installed with it. Those licences govern the Customer's use of the Third-Party Components, and nothing in this Agreement limits any right the Customer has under them.
5. Ownership and feedback
5.1 The Software is licensed, not sold. We and our licensors keep all right, title and interest, including all intellectual property rights, in and to the Software. All rights not expressly granted in this Agreement are reserved.
5.2 If the Customer or its Authorised Users give us suggestions or feedback about the Software, we may use them without restriction or obligation, and without identifying the Customer.
6. Customer content
6.1 As between the parties, the Customer owns all Customer Content. This Agreement gives us no rights in Customer Content.
6.2 The Software processes Customer Content on the Customer's own devices. The Software does not send Customer Content to us. Where the Customer directs the Software to connect to a third-party service (for example, an email provider through Mail), the Software exchanges information directly with that service on the Customer's behalf.
6.3 The Customer is responsible for Customer Content, for having the rights needed to process it, and for keeping backups of it. We recommend regular backups; software, devices and storage can fail.
7. Updates
7.1 The Software can check, at most once a day, whether a newer version is available, and tell the Authorised User if one is. The Software does not download or install updates itself. The Customer decides whether and when to obtain and install a new version. Automatic checks can be turned off in the Software.
7.2 We are not obliged to provide updates, upgrades or new versions, but any we provide are part of the Software and subject to this Agreement unless they come with different terms.
8. Third-party services
The Software can connect to services operated by third parties, such as the Customer's email provider or a website the Authorised User opens. Those services are provided by the third parties under their own terms and privacy policies. We do not control them and are not responsible for them, or for their availability.
9. Fees and taxes
The Customer will pay the fees, if any, set out in an Order, in accordance with its payment terms. Fees are exclusive of applicable taxes, including HST, GST, PST and QST, which the Customer will pay in addition.
10. Privacy
Our Privacy Policy, available in the Software (About, then Privacy Policy), describes how personal information is handled in connection with the Software.
11. Warranty disclaimer
11.1 The Software is provided "as is" and "as available". To the maximum extent permitted by applicable law, we and our licensors disclaim all representations, warranties and conditions of any kind, whether express, implied, statutory or arising from a course of dealing or usage of trade, including implied warranties or conditions of merchantable quality, fitness for a particular purpose, title and non-infringement, and any warranties or conditions under the Sale of Goods Act (Ontario) or similar legislation in any jurisdiction.
11.2 We do not warrant that the Software will be error-free or uninterrupted, that it will meet the Customer's requirements, that it will open, save or convert every file correctly, or that it will be compatible with every other product or service.
12. Limitation of liability
12.1 To the maximum extent permitted by applicable law, neither we nor our licensors will be liable to the Customer for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or anticipated savings, or for any loss or corruption of data or Customer Content, however caused and under any theory of liability, even if advised of the possibility of such damages.
12.2 To the maximum extent permitted by applicable law, our total liability arising out of or relating to this Agreement or the Software will not exceed the greater of (a) the fees the Customer paid us for the Software in the twelve (12) months before the event giving rise to the liability, and (b) one hundred Canadian dollars (CAD $100).
12.3 These limitations apply even if a remedy fails of its essential purpose. Nothing in this Agreement limits liability that cannot be limited under applicable law.
13. Term and termination
13.1 This Agreement starts when the Customer first accepts it and continues until terminated, or until the end of any licence term stated in an Order.
13.2 Either party may terminate this Agreement if the other materially breaches it and does not cure the breach within thirty (30) days after written notice. We may terminate immediately on written notice if the Customer breaches section 3.
13.3 The Customer may terminate this Agreement at any time by ceasing all use of the Software and deleting all copies.
13.4 On termination, the licence in section 2 ends, and the Customer must stop using the Software and delete all copies in its possession or control. Termination does not affect the Customer's ownership of Customer Content. Sections 3 to 6, 8 and 11 to 15, and any accrued payment obligations, survive termination.
14. Governing law and disputes
14.1 This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of- laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 The courts of Ontario sitting in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and each party submits to their jurisdiction. Either party may nevertheless seek urgent injunctive relief in any court of competent jurisdiction.
15. General
15.1 Entire agreement. This Agreement, together with any Order, is the entire agreement between the parties about the Software and supersedes all prior agreements and understandings about it. If an Order conflicts with this Agreement, the Order prevails for the matters it expressly covers.
15.2 Assignment. The Customer may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement to an affiliate or to a successor to our business.
15.3 Severability. If any provision of this Agreement is held unenforceable, it will be enforced to the maximum extent permissible and the rest of this Agreement will remain in effect.
15.4 No waiver. A failure or delay in exercising a right is not a waiver of it.
15.5 Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, other than payment obligations.
15.6 Notices. Notices under this Agreement must be in writing and sent to the addresses in the Order or, for us, to contact@fortitudenorth.com. Notices by email are effective when sent, unless the sender receives a delivery failure.
15.7 Changes. We may offer revised terms with a new version of the Software. The terms in effect when the Customer obtains a version of the Software apply to that version.
15.8 Language. The parties have expressly required that this Agreement and all related documents be drawn up in English. Les parties ont expressément exigé que la présente convention et tous les documents connexes soient rédigés en anglais.
15.9 Relationship. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship.
